This document is a genuine, substantive draft written for how MagFlow AI actually operates — not filler text — but it is not a substitute for review by a qualified lawyer in your jurisdiction, particularly around consumer-protection, anti-spam (CAN-SPAM/CASL/PECR), and data-protection law, which vary by country and change over time. Treat this as the strong starting point it is, not the finish line.

1. Who this agreement is with

These Terms govern your access to and use of MagFlow AI (the "Service"), operated by MagFlow AI ("we," "us," "our"). By creating an account or using the Service, you ("you," "your," "Customer") agree to these Terms. If you're agreeing on behalf of a company, you confirm you have authority to bind that company.

2. What MagFlow AI does

MagFlow AI is a B2B lead-enrichment and cold-outreach tool. Given targeting criteria you provide, it discovers candidate companies and contacts from publicly available sources, enriches and cross-verifies contact details across multiple independent sources, drafts personalized outreach copy, and can push the result to a sending platform you connect (Instantly or Smartlead, using your own account and API key).

MagFlow AI does not access any private, authenticated, or login-walled data source (for example, it does not log into LinkedIn or any social account on your behalf), does not purchase data from data brokers, and does not resell any data it collects to third parties.

3. Accounts

You must provide accurate account information and keep your login credentials secure.
You're responsible for all activity under your account, including anything sent through a sending platform you've connected.
The Service is for business use by companies and professionals conducting legitimate B2B outreach — not for personal, consumer-targeted, or mass-unsolicited messaging campaigns outside that scope.

4. Subscription, billing, and the lead cap

The Service is billed on a flat monthly subscription via Stripe. We do not store your card details ourselves — Stripe handles payment processing and PCI compliance.
Each account has a monthly lead-lookup cap. A lookup that returns no usable data does not count against your cap — you're only charged usage for a lead where something real was actually found.
Subscriptions renew automatically until cancelled. You can cancel or manage billing at any time via the billing portal in Settings.
Fees are non-refundable except where required by law, or at our discretion.

5. Acceptable use

You agree not to use MagFlow AI to:

Send unsolicited communications that violate applicable anti-spam or marketing law (including CAN-SPAM, CASL, PECR, or GDPR-derived direct-marketing rules) in the jurisdictions you're contacting people in;
Attempt to identify, contact, or build profiles on private individuals outside a legitimate B2B business context;
Attempt to circumvent, reverse-engineer, or interfere with the Service's scraping, verification, or rate-limiting systems, or use it to scrape or extract data from login-walled or authenticated sources;
Resell, sublicense, or bulk-export data obtained through the Service as a standalone data product;
Use the Service in a way that infringes anyone's legal rights or violates any applicable law.

You are solely responsible for the content of the outreach you send and for complying with the law that applies to you and to the people you contact. MagFlow AI provides tooling; it does not review or pre-approve your campaigns, and using the Service does not itself guarantee legal compliance.

6. Data sources and accuracy

MagFlow AI enriches leads using publicly available information (company websites, public search results, publicly accessible job listings, and similar public sources) combined with AI-assisted extraction and cross-source verification. We work to keep data accurate and clearly show which sources corroborate each field, but we do not guarantee that any enriched field is complete, current, or error-free. You're responsible for using reasonable judgment before relying on or acting on any data the Service provides.

7. Third-party services

The Service integrates with third-party providers to operate, including Stripe (billing), Supabase (data storage), and AI/search providers used for enrichment and research. If you connect Instantly or Smartlead, that connection uses your own account and API key, is billed by that provider directly, and is governed by that provider's own terms — MagFlow AI only passes data through on your instruction. We aren't responsible for the availability, accuracy, or conduct of third-party services.

8. Intellectual property

We own the Service, its software, and its design. You retain ownership of the content you input (your offer description, your website, your edits to generated copy) and of the lead records associated with your account. You grant us a license to process that content solely to provide the Service to you.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We don't guarantee any particular volume of leads, response rate, or business outcome from using the Service.

10. Limitation of liability

To the maximum extent permitted by law, MagFlow AI will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 3 months preceding the claim.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms, misuse the Service, or create risk or legal exposure for us or others, with notice where reasonably possible.

12. Changes to these Terms

We may update these Terms from time to time. If changes are material, we'll make reasonable efforts to notify account holders. Continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of Ireland, and any dispute not resolved informally will be subject to the exclusive jurisdiction of the courts of Ireland.
